1. Acceptance of Terms

By creating an account, installing the extension, connecting an AI tool to the MCP server, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

If you use the Service on behalf of a company, organisation, or public body, you represent that you have authority to bind it, and "you" refers to that entity as well as to you personally.

You must be at least the age of majority in your province or territory, or 18 years old, whichever is greater, to create an account.

2. Definitions

  • "Tutorial": a script you write and the recording Tuti Tuti performs from it.
  • "Script": the written narration, one sentence per beat, that the extension reads and performs.
  • "Free plan": the plan every account starts on, described in Section 5.1.
  • "Pro": the paid subscription described in Section 5.2.
  • "Trial stamp": the visible marking shown on screen during playback on the Free plan.
  • "Your application": any web page or web application on which you use the extension.
  • "Third-party service": a service you choose to use with the extension through your own account and keys, such as a narration or AI provider.

3. What the Service Is, and Is Not

Tuti Tuti performs narrated tutorials on web pages you open in your own browser, from a script you write, and records them as video files on your computer. The extension runs locally. Our servers hold your account, your plan, and a count of the seconds of video you have exported, and nothing else; recordings, scripts, and page content never reach us.

The Service is a tool that acts on your instructions. It does not guarantee that any given script will perform on any given application, that an application will behave the same way twice, or that a recording will be suitable for a particular purpose. Web applications change, and a tutorial that worked may need to be rehearsed again when the application changes; that is expected behaviour, not a defect.

Optional features that use a third-party service (narration, AI checks, the assistant) depend on that service's availability and terms and on keys you provide. We do not operate those services.

4. Your Account

You must provide accurate information and keep your sign-in credentials confidential. You are responsible for all activity under your account. Tell us at once at support@tutituti.ca if you believe your account has been accessed without permission.

One account is for one person. Organisations buy one seat per person who uses the Service. Sharing an account between people, or signing the extension in on behalf of someone else, is a breach of these Terms.

You may delete your account at any time from the account page. Deletion cancels any subscription, removes your account and usage records, and cannot be undone. Your tutorials remain in your browser until you remove the extension.

5. Plans, Payments, and Billing

5.1 Free plan. The Free plan is for trying Tuti Tuti on your own application: you may install the extension, write and rehearse scripts, use the assistant, the rework file, the guides, and the MCP server without limit. Playback on the Free plan previews the first minute of a tutorial and displays the trial stamp on screen at intervals. Export is not available on the Free plan.

5.2 Pro. Pro removes the trial stamp, plays tutorials in full, and enables unlimited export for the account that subscribes. Pro is billed in advance through Stripe, Inc., monthly at $40 CAD or $30 USD, or yearly at $190 CAD or $150 USD, plus applicable taxes, including GST, HST, QST, and PST where they apply. By subscribing, you authorise Pandacat and Stripe to charge your payment method on that schedule until you cancel. Promotion codes, where offered, apply as stated at checkout.

5.3 NO REFUNDS. All payments are final. There is no refund, in whole or in part, for any billing period, for unused time, for a change of mind, or because the Service did not perform on a particular application. The Free plan exists so that you can try everything on your own application before you subscribe, and you agree that you have had that opportunity. Where consumer protection law in your jurisdiction grants a right that cannot be waived by contract, that right applies to the extent the law requires.

5.4 Cancellation. You may cancel at any time from the billing portal on your account page. Cancellation takes effect at the end of the billing period already paid for; Pro remains available until then, after which the account returns to the Free plan.

5.5 Price changes. We may change prices for future billing periods with at least thirty days' notice by email or in the Service. Continued use after the change takes effect means you accept the new price. A change does not affect a period already paid for.

5.6 Failed payments. If a payment fails, we or Stripe will notify you and retry. If payment is not received within a reasonable period, Pro ends and the account returns to the Free plan.

5.7 Chargebacks. Contact support@tutituti.ca before disputing a charge with your card issuer; most issues are resolved within a business day. Initiating a chargeback without first contacting us may result in suspension of the account. We reserve the right to contest chargebacks we consider unjustified.

5.8 Invoices and the public sector. Organisations, including Government of Canada departments and provincial and municipal bodies, may buy seats by purchase order and invoice on terms agreed in writing, in Canadian dollars with taxes itemised. Those written terms prevail over Section 5.2 to the extent they differ.

6. The Trial Stamp and the Preview Limit

The trial stamp and the one-minute preview are part of the Free plan and are how the Service remains free to try. You may not remove, hide, obscure, cover, crop, blur, edit out, or otherwise work around the trial stamp or the preview limit by any means, including screen recording, video editing, modifying the extension, or using a modified copy of it. Doing so is a material breach of these Terms and may infringe Pandacat's intellectual property rights. Any video that shows the trial stamp is, by definition, not a finished product of the Service and must not be presented as one.

7. Acceptable Use

You agree to use the Service only for making tutorials, demonstrations, training, and documentation of applications you are entitled to use and to record. You must not:

  • Use the Service on an application in breach of that application's terms, or to access, scrape, automate, or test a service without authorisation.
  • Record, publish, or distribute the personal information of other people without a lawful basis. The privacy blur is a convenience, not a guarantee; you are responsible for what appears in your videos.
  • Produce content that is unlawful, defamatory, infringing, fraudulent, harassing, or that violates the rights of others.
  • Interfere with the Service, probe or test its security, overload it, or access it by any means other than the interfaces we provide.
  • Send to the MCP server or the assistant content you have no right to send, or use them to generate content prohibited by this Section.
  • Use the Service to build, train, or improve a competing product.

We may investigate suspected violations and take any action we consider appropriate, including removing content from our systems, suspending or terminating accounts, and reporting to law enforcement.

8. No Resale or Redistribution

Your right to use the Service is personal, non-exclusive, non-transferable, and revocable. You may not, and may not allow anyone else to: resell, sublicense, rent, lease, lend, or otherwise make the Service, the extension, or access to your account available to any third party; offer the Service, or any part of it, as a service to others; copy, modify, adapt, translate, decompile, reverse engineer, or create derivative works of the extension, the site, or the MCP server, except where the law expressly permits it despite this restriction; remove or alter any proprietary notice; or use Pandacat's names, marks, or branding without written permission.

This is a zero-tolerance provision. Any breach results in immediate termination of the account without refund, and Pandacat reserves all legal remedies, including injunctive relief and recovery of its costs.

9. Intellectual Property

The Service, including the extension, the website, the MCP server, the script and app guides, the documentation, the design, the names Tuti Tuti and Pandacat, and all associated logos and marks, is owned by Pandacat Inc. and protected by Canadian and international copyright, trademark, and other laws. Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant Pandacat a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation to you.

10. Your Content and Your Recordings

Scripts, tutorials, and videos you make with the Service are yours. Pandacat claims no ownership of them and, because they never reach our systems, does not store, review, or use them. You are solely responsible for your content, for having the rights to anything you record, narrate, or distribute, and for complying with the laws that apply to it, including privacy, copyright, and trademark law.

Content you send to the MCP server or the assistant for processing is processed and returned and is not retained.

Roles. For the account information of the people who use the Service, Pandacat is the organisation responsible under Canadian privacy law. Where an organisation or public body buys seats for its people, Pandacat acts as a service provider in respect of those people's account information: we process it only to provide the Service to them, under these Terms and any written agreement with the organisation, and for no other purpose.

11. Third-Party Services

Narration from ElevenLabs, checks and the assistant through Google Gemini, Chrome's built-in model, payments through Stripe, and sign-in through Google are provided by those companies under their own terms and privacy policies. Your use of them is at your own discretion and risk. We are not responsible for their availability, performance, pricing, or conduct, or for any content they generate. Keys you paste into the extension are stored only in your browser; you are responsible for them and for any charges those services bill you.

12. Availability, Changes, and Beta Features

We work to keep the Service available but do not promise uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service, with reasonable notice where practicable. Features marked as beta, preview, or experimental are provided as is, may change or be withdrawn at any time, and are not covered by any commitment.

Updates to the extension are delivered through the Chrome Web Store and may be installed automatically. You agree to use the current version.

Fair use. The MCP server, the sign-in email, and the account services are shared resources. We may apply reasonable rate limits and may block traffic that is automated, abusive, or disproportionate, without notice where needed to protect the Service for everyone.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WITHOUT ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WORK ON ANY PARTICULAR APPLICATION, OR BE SECURE, ACCURATE, OR FREE OF ERRORS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; IN THAT CASE THE EXCLUSIONS APPLY TO THE EXTENT PERMITTED.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PANDACAT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THAT PERIOD AND ONE HUNDRED CANADIAN DOLLARS. THESE LIMITATIONS ARE FUNDAMENTAL TO THE BARGAIN BETWEEN YOU AND PANDACAT. WHERE THE LAW DOES NOT PERMIT A LIMITATION, IT APPLIES TO THE EXTENT PERMITTED.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

15. Indemnification

You will defend, indemnify, and hold harmless Pandacat and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or relating to your content, your recordings, your use of the Service, your breach of these Terms, or your violation of any law or of the rights of any third party.

16. Termination and Suspension

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, if your use creates risk or legal exposure for us, or if we discontinue the Service. On termination, your right to use the Service ends immediately; amounts already paid are not refunded. Sections that by their nature should survive termination, including 5.3, 6, 8, 9, 10, 13, 14, 15, 18, 19, and 21, survive.

On deletion or termination, your account record is removed as described in the Privacy Policy. Because your scripts and recordings live only in your browser, nothing of yours is held by us to lose.

17. Force Majeure

Pandacat is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labour disputes, government action, failures of the Internet or of third-party services, or failures of power or telecommunications.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, for any dispute arising out of or in connection with these Terms or the Service, except that either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction.

For users in the United States: to the extent permitted by law, any dispute between you and Pandacat relating to the Service will be resolved exclusively in the courts of Ontario, Canada, and you waive any objection to venue. Mandatory consumer protection laws of your state may grant rights that cannot be waived.

Class action waiver: TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THIS WAIVER MAY NOT BE ENFORCEABLE IN ALL JURISDICTIONS.

19. Dispute Resolution

Good-faith negotiation. If a dispute arises, you agree to contact us first at legal@pandacat.ca and to make a good-faith effort to resolve it informally. We will endeavour to respond within thirty days.

If informal resolution fails, the dispute will be resolved by the courts set out in Section 18. Nothing in this Section prevents either party from seeking injunctive or other equitable relief to protect its intellectual property or confidential information.

20. Modifications to These Terms

We may revise these Terms from time to time. The date at the top changes with them, and the current version is always published at tutituti.ca/terms. For material changes, we will notify you by email or in the Service at least fifteen days before they take effect. Continued use of the Service after the effective date means you accept the revised Terms. If you do not agree, stop using the Service and delete your account before that date.

21. Security, Confidentiality, Data Residency, and Organisations

21.1 Security program. We maintain an information security program appropriate to the size of the Service and the sensitivity of the information we hold, aligned with recognised industry practice. It includes: hosting on cloud infrastructure independently audited under ISO 27001, SOC 1, SOC 2, and SOC 3; encryption of data in transit (TLS 1.2 or higher) and at rest (AES-256); account records stored and replicated across multiple data centres within one Canadian region; sign-in without passwords, so there are no password databases to steal; sessions that expire; access to production systems limited to named personnel, protected by multi-factor authentication, and logged; secrets kept in a managed secret store rather than in code; and monitoring of dependencies for known vulnerabilities. Security documentation and completed questionnaires are available to organisations on request.

21.2 Data residency. Account records are stored and processed in Canada, in the Montréal region of our cloud provider, and connections to tutituti.ca are received and terminated in Canada. The only information processed outside Canada is described in Section 7 of the Privacy Policy: the confirmation of your identity by Google if you choose Sign in with Google, and payment processing by Stripe. We will give at least thirty days' notice before changing the country in which account records are stored.

21.3 Confidentiality. Each party will keep confidential any non-public information it learns about the other through the Service, use it only as these Terms allow, and disclose it only to people who need it and are bound to keep it confidential, or where the law requires disclosure, in which case the disclosing party will give notice where the law permits.

21.4 Security incidents. If we confirm an incident involving unauthorised access to, or loss of, personal information we hold about you, we will notify you without undue delay, and in any event within the time the law requires, describing what we know about the nature of the incident, the information affected, the steps we have taken, and what you can do. We keep a register of confidentiality incidents as Quebec law requires.

21.5 Organisations and public bodies. For departments and agencies of the Government of Canada, provincial and territorial governments, municipalities, crown corporations, health and education institutions, and other organisations, the following apply in addition to these Terms: (a) seats are available by purchase order and invoice in Canadian dollars with taxes itemised, under a written agreement whose terms prevail over these Terms where they differ; (b) we will cooperate reasonably with the organisation's privacy impact assessments, security assessments, and vendor questionnaires; (c) the list of our service providers is published in the Privacy Policy, and we will give at least thirty days' notice by email before adding a provider that processes personal information; (d) the Service is available in English and in French, and we work toward conformance with WCAG 2.1 level AA for the website and the extension; (e) the organisation is responsible for the use of the Service by its people and for the content of the tutorials they make; and (f) no service level commitment applies unless set out in the written agreement.

22. General Provisions

These Terms, together with the Privacy Policy and any written agreement for invoiced seats, are the entire agreement between you and Pandacat regarding the Service and supersede any prior agreements. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver; a waiver is effective only in writing. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor. Headings are for convenience only. Notices to you may be sent to the email address on your account; notices to us go to legal@pandacat.ca.

Language. These Terms are available in English and in French. The parties have expressly requested that these Terms and all related documents be drawn up in English; les parties ont expressément demandé que les présentes conditions et tous les documents qui s'y rattachent soient rédigés en anglais. The French version is provided for convenience and is of equal effect for users in Quebec in accordance with the Charter of the French Language.
